Allgemeine Geschäfts-, Liefer-
und Zahlungsbedingungen der PVG Görlitz GmbH,
Markersdorf - Stand 01.02.2017

 

I. Geltungsbereich

Die nachfolgenden Geschäfts- und Lieferbedingungen gelten für die gesamten gegenwärtigen und zukünftigen Geschäftsbeziehungen zwischen der PVG Görlitz und dem Käufer/Besteller (Kunde). Die Allgemeinen Geschäftsbedingungen des Kunden werden nicht Vertragsbestandteil, auch wenn seitens der PVG Görlitz insoweit nicht ausdrücklich widersprochen wurde.

„Kunde“ im Sinne dieser Geschäftsbedingungen ist eine natürliche oder juristische Person oder eine rechtsfähige Personengesellschaft, die bei der Bestellung von Ware bei der PVG Görlitz in Ausübung ihrer gewerblichen oder selbständigen beruflichen Tätigkeit handelt.

Für den Fall, dass der Kunde die nachfolgenden Allgemeinen Geschäfts- und Lieferbedingungen nicht gelten lassen will, hat er dies bei der Bestellung oder vor Vertragsabschluss mit der PVG Görlitz gegenüber der PVG Görlitz schriftlich anzuzeigen.

 


II. Angebote und Vertragsschluss


Die Darstellung des Sortiments in den jeweils aktuellen Katalogen, Prospekten oder Internetseiten stellen kein bindendes Vertragsangebot seitens der PVG Görlitz dar. Indem der Kunde eine Bestellung an die PVG Görlitz schickt, gibt er ein verbindliches Angebot ab. Die PVG Görlitz behält sich die freie Entscheidung über die Annahme dieses Angebotes vor.

Angebote/Bestellungen des Kunden werden durch die PVG Görlitz stets schriftlich oder fernschriftlich oder per Telefax bestätigt, sofern nicht unmittelbar Lieferung bzw. Rechnungsstellung erfolgt

Der Kunde ist an seine Bestellung/sein Angebot 10 Werktage gebunden. Diese Frist beginnt ab dem Zeitpunkt des Eingangs der Bestellung/Angebots bei der PVG Görlitz zu laufen. Während dieser 10-Tagesfrist ist die PVG Görlitz berechtigt, den Abschluss des Vertrages abzulehnen. Erfolgt innerhalb dieser Frist keine Ablehnung oder wird in dieser Frist die Ware ausgeliefert, so kommt der Vertrag auch ohne die zuvor benannte schriftliche Auftragsbestätigung der PVG Görlitz zustande. Der Vertragsschluss erfolgt unter dem Vorbehalt der richtigen und rechtzeitigen Selbstbelieferung durch die Zulieferer von PVG Görlitz; dieser Vorbehalt gilt nur für den Fall, dass die PVG Görlitz mit dem Zulieferer ein konkludentes Deckungsgeschäft geschlossen und eine etwaige Falsch- oder Nichtbelieferung nicht zu vertreten hat. Stellt sich heraus, dass die bestellten Waren nicht verfügbar sind, behält sich die PVG Görlitz den Rücktritt vom Vertrag vor. Die PVG Görlitz wird den Kunden unverzüglich über die Nichtverfügbarkeit informieren und etwaige vom Kunden bereits erbrachte Gegenleistungen unverzüglich erstatten.

Übersteigt eine Bestellung handelsübliche Mengen, behält sich die PVG Görlitz eine entsprechende Beschränkung vor.

 

III. Preise


Die angebotenen Preise verstehen sich zzgl. der gesetzlichen Mehrwertsteuer und richten sich ausschließlich an Industrie, gewerbliche Händler und Freiberufe sowie Handwerk.

Dem im Angebot des Kunden genannten Preis liegen die zum Zeitpunkt der Angebotsabgabe bestehenden Kalkulationen zugrunde. Tritt bei Verträgen mit einer Bindung für eine Partei von mehr als vier Monaten oder bei Dauerschuldverhältnissen eine wesentliche Änderung der Rohstoffpreise (Papier und Kunststoff) mindestens in Höhe von 10 % nach Abgabe des Angebotes/Abschluss des Vertrages ein, so ist die PVG Görlitz berechtigt, die vereinbarten Preise um den anteiligen Mehraufwand zu erhöhen. Der Kunde erhält hiervon unmittelbar Nachricht. Diese Regelung gilt entsprechend bei einem Sinken der Rohstoffpreise in Höhe von 10 %.

 

IV. Zahlungsbedingungen


Alle Rechnungen der PVG Görlitz werden nach 14 Tagen ab Rechnungsdatum zur Zahlung fällig, soweit nichts anderes mit dem Kunden schriftlich vereinbart wurde. Maßgeblich für den Zahlungseingang ist das Datum des Eingangs der Zahlung bei der PVG Görlitz.

Bei noch offenen Rechnungen des Kunden gelten Zahlungen jeweils zur Abdeckung der ältesten fälligen Forderungen, soweit es sich bei dieser Forderung nicht um eine Forderung handelt, gegenüber der Kunde ein Zurückbehaltungsrecht geltend gemacht hat. Bei Überschreiten der Zahlungsfrist kommt der Kunde – sofern kein eindeutiges Datum für die Zahlung festgelegt wurde – bei Mahnung in Verzug. Vorbehaltlich weiterer Ansprüche hat der Kunde der PVG Görlitz in diesen Fällen Verzugszinsen in Höhe der von den Geschäftsbanken berechneten Zinsen für offene Kontokorrentkredite, mindestens jedoch in Höhe von 5 Prozent über dem jeweiligen gesetzlichen Basiszins, festgelegt von der europäischen Zentralbank, zu zahlen. Diese Zinsen sind niedriger anzusetzen, wenn der Kunde der PVG Görlitz eine geringere Belastung nachweist. Von dieser Regelung unberührt bleiben die Ansprüche der PVG Görlitz, die gesetzlich geregelten Fälligkeitszinsen vor Eintritt des Verzuges geltend zu machen.

Befindet sich der Kunde aus früheren Lieferungen des Auftragnehmers in Zahlungsverzug und/oder tritt in den Vermögensverhältnissen des Kunden nach Abschluss eines Vertrages eine wesentliche Verschlechterung ein, durch die der Anspruch der PVG Görlitz auf Gegenleistung gefährdet wird, hat die Zahlung Zug um Zug gegen Auslieferung der Liefergegenstände/Ware zu erfolgen. Die Lieferung Zug um Zug kann der Kunde durch Erbringung einer Sicherheit in Höhe des Kaufpreises betreffend die entsprechende Lieferung abwenden.

Der Kunde ist nicht berechtigt, mit Forderungen der PVG Görlitz aufzurechnen, sofern diese Forderungen nicht unbestritten oder rechtskräftig festgestellt sind.

 

V. Lieferung und Kosten


Alle Angebote sind freibleibend. Lieferungen erfolgen nur solange der Vorrat reicht.

Alle von der PVG Görlitz genannten Liefertermine sind unverbindliche Liefertermine, es sei denn, dass ein Liefertermin ausdrücklich schriftlich bindend mit dem Kunden vereinbart wurde.

Verlangt der Kunde nach Auftragserteilung/Vertragsabschluss Änderungen oder Ergänzungen des Auftrages oder treten sonstige Umstände ein, die der PVG Görlitz eine Einhaltung des Liefertermins unmöglich machen, obwohl die PVG Görlitz diese Umstände nicht zu vertreten hat, so verschiebt sich der Liefertermin um den Zeitraum der Einarbeitung der Änderung und schriftlicher Bestätigung dieser, wenigstens jedoch um zwei Wochen.

Wird die PVG Görlitz an der rechtzeitigen Vertragserfüllung z. B. durch Beschaffungs-, Fabrikations- oder Lieferungsstörungen bei ihr oder ihrem Zulieferanten gehindert, so gilt zunächst die Regelung unter II. Soweit die PVG Görlitz nicht nach II. zurücktritt ist der Kunde nach Ablauf eines Monats seit dem veranschlagten Liefertermin berechtigt, der PVG Görlitz eine Nachfrist von vier Wochen zur Lieferung bzw. Mitteilung des Vertragsrücktrittes einzuräumen. Der Kunde kann vom Vertrag zurücktreten, wenn er der PVG Görlitz mit Setzen der angemessenen Nachfrist mitteilt, dass nach Ablauf dieser Frist der Rücktritt seitens des Kunden erfolgt. Der Rücktritt selbst hat dann schriftlich zu erfolgen. Der Rücktritt des Kunden ist erst zulässig, wenn die PVG Görlitz nicht innerhalb der zuvor gesetzten Nachfrist den Vertrag erfüllt.

Ist die Nichteinhaltung eines verbindlichen Liefertermins nachweislich auf Mobilmachung, Krieg, Aufruhr, Streik, Aussperrung oder auf sonstige nach allgemeinen Rechtsgrundsätzen von der PVG Görlitz nicht zu vertretenen Umständen zurückzuführen, so wird die Lieferfrist um den Zeitraum der Verhinderung verlängert. Wird der PVG Görlitz die Vertragserfüllung aus den vorgenannten Gründen ganz oder teilweise unmöglich, so wird sie von Ihrer Lieferpflicht frei.

Die Kosten für den Versand und die Transportversicherung sind vom Kunden zu tragen, soweit nichts anderes schriftlich vereinbart wurde, wobei die Wahl des Versandweges und der Versandart im freien Ermessen der PVG Görlitz liegt.

Mit Übergabe des Liefergegenstandes an den Spediteur, Frachtführer oder Versandbeauftragten geht die Gefahr des zufälligen Untergangs und der zufälligen Verschlechterung des Liefergegenstandes auf den Kunden über. Das gilt auch dann, wenn die Versendung nicht vom Erfüllungsort aus erfolgt und/oder wenn die PVG Görlitz die Frachtkosten trägt und/oder wenn die PVG Görlitz den Transport durch eigene Transportmittel durchführt.

Soweit nicht abweichend vereinbart, müssen Bestellungen auf Abruf vom Kunden innerhalb von sechs Monaten ab dem Datum der Bestellung/der Auftragsbestätigung abgenommen werden. Nach Ablauf dieser oder einer etwaig abweichend vereinbarten Frist wird die noch nicht abgenommene Menge nach vorheriger Ankündigung an den Kunden ausgeliefert und berechnet.

 

VI. Verpackung und Versand

Die PVG Görlitz haftet für ordnungsgemäße und branchenübliche Verpackung. Diese Haftung beschränkt sich jedoch auf Vorsatz und grobe Fahrlässigkeit. Hiervon unberührt bleibt das Recht des Kunden, den Einwand eines etwaigen Mitverschuldens gegenüber der PVG Görlitz zu erheben.

 


VII. Gewährleistung, Beanstandungen, Mängelansprüche

Der Kunde ist verpflichtet, die von der PVG Görlitz gelieferten Waren unverzüglich nach Eingang auf Mängel zu überprüfen. Im Rahmen dieser Überprüfung sind entsprechende Stichproben vorzunehmen. Der Kunde ist verpflichtet, erkennbare Transportschäden sowie jegliche Beschädigungen der Verpackung unverzüglich der PVG Görlitz schriftlich zu melden. Gleiches gilt für verdeckte Schäden, welche unverzüglich nach Feststellung durch den Kunden schriftlich gegenüber der PVG Görlitz anzuzeigen sind. Gehen der PVG Görlitz aufgrund des Unterlassens dieser Verpflichtung ihre Ansprüche gegenüber der Transportversicherung oder dem Sublieferanten verlustig, so haftet der Kunde für sämtliche Kosten, die aus dieser Obliegenheitsverletzung resultieren.

Der PVG Görlitz ist Gelegenheit zu geben, gerügte Mängel an Ort und Stelle festzustellen.

Sind Liefergegenstände/Waren mangelhaft oder fehlen ihnen zugesicherte Eigenschaften oder werden sie innerhalb der Gewährleistungsfrist schadhaft, so ist die PVG Görlitz berechtigt, unter Ausschluss weiterer Gewährleistungsansprüche dem Kunden Ersatz zu liefern oder entsprechend nachzubessern.

Schlägt die Nachbesserung oder Ersatzlieferung fehl, kann der Kunde nach seiner Wahl Herabsetzung der Vergütung oder die Rückgängigmachung des Vertrages verlangen.

Gewährleistungs- und Schadensersatzansprüche verjähren nach einem Jahr ab Anlieferung der Ware beim Kunden.

 

VIII. Eigentumsvorbehalt

Die gelieferte Ware bleibt bis zur vollständigen Bezahlung sämtlicher Forderungen der PVG Görlitz aus der Geschäftsverbindung mit dem Kunden in Haupt- und Nebensache im Eigentum der PVG Görlitz. Der Kunde ist verpflichtet, die unter dem Eigentumsvorbehalt der PVG Görlitz stehenden Sachen ordnungsgemäß zu versichern (d.h. Diebstahl-, Feuer-, Wasser- und Schwachstromversicherung) und der PVG Görlitz auf Anforderung eine solche Versicherung nachzuweisen. Im Schadensfall gilt der Versicherungsanspruch des Kunden als an die PVG Görlitz abgetreten.


Der Kunde ist zur Weiterveräußerung der Vorbehaltsware im normalen Geschäftsverkehr berechtigt; eine Verpfändung oder Sicherungsübereignung ist ihm jedoch nur mit Zustimmung der PVG Görlitz gestattet.

Der Kunde ist verpflichtet, die Rechte der PVG Görlitz bei Weiterverkauf von Vorbehaltswaren auf Kredit zu sichern.

Die Forderungen des Kunden aus der Weiterveräußerung der Vorbehaltsware tritt der Kunde schon jetzt an die PVG Görlitz ab; die PVG Görlitz nimmt diese Abtretung an. Der Kunde ist verpflichtet, der PVG Görlitz alle zur Geltendmachung dieses Rechts erforderlichen Informationen herauszugeben und die erforderlichen Mitwirkungshandlungen zu erbringen. Über Zwangsvollstreckungsmaßnahmen Dritter in die Vorbehaltsware oder in die im Voraus abgetretenen Forderungen hat der Kunde die PVG Görlitz unverzüglich unter Übergabe der für die Intervention notwendigen Unterlagen zu unterrichten.

Es wird klargestellt, dass in Fällen einer Scheck-/Wechselfinanzierung das Eigentum an dem Liefergegenstand auf den Kunden erst nach vollständiger Einlösung der Wechsel und der Zahlung der Wechselbeträge an die PVG Görlitz übergeht.

Die Verarbeitung der Liefergegenstände erfolgt ausschließlich durch den Kunden. Wird der Liefergegenstand mit anderen, der PVG Görlitz nicht gehörenden Gegenstände verbunden, so erwirbt die PVG Görlitz das Miteigentum an der neuen Sache im Verhältnis des Wertes des verarbeiteten Liefergegenstandes zur neuen Sache im Zeitpunkt der Verarbeitung. Erfolgt die Verarbeitung in einer Weise, dass die neue vom Kunden hergestellte Sache als Hauptsache anzusehen ist, so überträgt der Kunde das anteilige Miteigentum dieser Sache der PVG Görlitz.

Die PVG Görlitz ist verpflichtet, die ihr nach den vorstehenden Bestimmungen zustehenden Sicherheiten nach Verlangen des Auftraggebers insoweit frei zu geben, als ihr Wert die Forderungen um 20 % oder mehr übersteigt. Welche Sicherheiten die PVG Görlitz frei gibt, bestimmt die PVG Görlitz nach billigem Ermessen.

 

IX. Schadensersatzansprüche

Schadensersatzansprüche aus positiver Vertragsverletzung und aus unerlaubter Handlung sind sowohl gegenüber der PVG Görlitz als auch gegenüber ihrem Erfüllungs- bzw. Verrichtungsgehilfen ausgeschlossen, soweit nicht vorsätzliches oder grob fahrlässiges Handeln der PVG Görlitz oder ihrer Erfüllungs- bzw. Verrichtungshilfen vorliegt. Ansprüche nach dem Produkthaftungsgesetz werden durch diese Regelung nicht ausgeschlossen.

Diese Haftungsbegrenzung findet auf Ansprüche wegen Verschuldens bei Vertragsabschluss entsprechend Anwendungen. In diesen Fällen verzichtet der Kunde nach Abschluss des Vertrages auf Ansprüche wegen Verschulden bei Vertragsabschluss, soweit nicht grobe Fahrlässigkeit oder Vorsatz vorliegt.

Diese vorbenannten Haftungsausschlüsse und -beschränkungen gelten nicht in Fällen verschuldensabhängiger Haftungen, bei verschuldeten Körper- und Gesundheitsschäden oder Verlust des Lebens.

Haftet die PVG Görlitz auch für leichte Fahrlässigkeit, so ist der Schaden auf den Ersatz des typisch vorhersehbaren Schadens begrenzt. Die PVG Görlitz haftet in diesen Fällen insbesondere nicht für entgangenen Gewinn, Mangelfolgeschäden und Produktionsausfall.

 

X. Vertraulichkeit

Die PVG Görlitz und der Kunde verpflichten sich gegenseitig alle Geschäfts- und Betriebsgeheimnisse der anderen Seite unbefristet geheim zu halten und nicht an Dritte weiterzugeben oder in irgendeiner Weise zu verwerten. Die Unterlagen, Zeichnungen oder andere Informationen, die der andere Vertragspartner aufgrund der Geschäftsbeziehung erhält, darf dieser nur im Rahmen des jeweiligen Vertragszweckes nutzen.

 


XI. Rücksendungen

Rücksendungen können nur erfolgen, wenn die PVG Görlitz eine entsprechende Retour-Nummer erteilt hat (Tel. 035829-631-36). Diese Retour-Nummer muss von allen Seiten sichtbar am Karton aufgebracht werden. Ohne diese Retour-Nummer wird keine Ware angenommen.

Rücksendungen müssen grundsätzlich „frei“ erfolgen. „Unfreie“ Sendungen können von der PVG Görlitz wegen der unzumutbaren Gebühren nicht angenommen werden. Wurden Fehllieferungen durch die PVG Görlitz verursacht, wird von der PVG Görlitz ein Spediteur zur Abholung beauftragt. Die insoweitigen Kosten werden von der PVG Görlitz getragen.

 


XII. Datenschutz und Werbesperre

Die für die Geschäftsabwicklung notwendigen Daten werden gespeichert und im Rahmen der Bestell – und Geschäftsabwicklung ggfls. auch an verbundene Unternehmen weitergegeben.

Zur Kreditüberprüfung und Bonitätsüberwachung erfolgt während der Dauer der Kundenbeziehung die Weitergabe der Adress- und Bonitätsdaten an die Schufa, 65203 Wiesbaden, und weitere Wirtschaftsinformationsdienste. Ferner werden Adress- und Bestelldaten für eigene Marketingzwecke erhoben und verarbeitet. Eine Weitergabe der Adress- und Bonitätsdaten an Dritte, außer den zuvor genannten Wirtschaftsinformationsdiensten und verbundenen Unternehmen, erfolgt nicht. Bei der Datenerhebung, -verarbeitung und -übermittlung werden die schutzwürdigen Belange des Kunden gemäß den gesetzlichen Bestimmungen berücksichtigt.


Hinweis:
Der Kunde kann der Nutzung, Verarbeitung bzw. Übermittlung Ihrer Daten zu Marketing- und den oben genannten anderen Zwecken jederzeit durch eine formlose Mitteilung auf dem Postweg an die PVG Görlitz widersprechen bzw. ihre Einwilligung zur Weitergabe widerrufen. Dies gilt jedoch nicht für die zur Abwicklung ihrer Bestellung notwendigen Daten. Nach Erhalt ihres Widerspruches bzw. Widerrufes werden die betroffenen Daten nicht mehr zur Abwicklung der Kundenbeziehung genutzt und verarbeitet oder weitergegeben.

 

XIII. Erfüllungsort/Gerichtsstand/anzuwendendes Recht

  1. Erfüllungsort für Lieferungen, Leistung und Zahlung ist, soweit nicht abweichend vereinbart, der Sitz der PVG Görlitz.
  2. Ausschließlicher Gerichtsstand für sämtliche Streitigkeiten aus dem zwischen den Parteien bestehenden Vertragsverhältnis, dem diese Lieferungen und Leistungen zugrunde liegen, ist, soweit eine Vereinbarung gesetzlich zulässig ist, der Unternehmenssitz der PVG Görlitz. Die PVG Görlitz ist jedoch berechtigt – nicht jedoch verpflichtet -, den Kunden auch am Sitz des Kunden zu verklagen.
  3. Auf die Rechtsbeziehungen der Parteien hinsichtlich der vereinbarten Lieferungen und Leistungen findet ausschließlich das deutsche Recht Anwendung.
  4. Nebenabreden, Vorbehalte, Änderungen oder Ergänzungen erfolgen schriftlich.
  5. Sollten einzelne Bestimmungen dieser allgemeinen Geschäfts-, Liefer- und Zahlungsbedingungen oder eine Bestimmung im Rahmen sonstiger Vereinbarungen in Bezug auf den Liefervertrag unwirksam sein oder werden, so werden hiervon die Wirksamkeit aller anderen Bestimmungen oder Vereinbarungen nicht berührt. Vielmehr tritt an die Stelle der unwirksamen oder nichtigen Bestimmung dasjenige, was wirtschaftlich und rechtlich dem gewollten Zweck der unwirksamen Bestimmung am nächsten kommt.

 


XIV. Alternative Streitbeilegung für Verbraucher gemäß Art. 14 Abs. 1 ODR-Verordnung und § 36 VSBG

Die Europäische Kommission stellt für Verbraucher eine Plattform zur Online-Streitbeilegung bereit, die unter ec.europa.eu/consumers/odr/ zu finden ist. Zur Teilnahme an einem Streitbeilegungsverfahren vor einer Verbraucherschlichtungsstelle sind wir nicht verpflichtet und grundsätzlich nicht bereit.

1. DEFINITIONS
The data protection declaration of the PVG Görlitz GmbH is based on the terms used by the European legislator for the adoption of the General Data Protection Regulation (GDPR). Our data protection declaration should be legible and understandable for the general public, as well as our customers and business partners. To ensure this, we would like to first explain the terminology used.

In this data protection declaration, we use, inter alia, the following terms:

A) PERSONAL DATA
Personal data means any information relating to an identified or identifiable natural person (“data subject”). C) PROCESSING
Processing is any operation or set of operations which is performed on personal data or on sets of personal data, whether or not by automated means, such as collection, recording, organisation, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction.

D) RESTRICTION OF PROCESSING
Restriction of processing is the marking of stored personal data with the aim of limiting their processing in the future.

E) PROFILING
Profiling means any form of automated processing of personal data consisting of the use of personal data to evaluate certain personal aspects relating to a natural person, in particular to analyse or predict aspects concerning that natural person's performance at work, economic situation, health, personal preferences, interests, reliability, behaviour, location or movements.

F) PSEUDONYMISATION
Pseudonymisation is the processing of personal data in such a manner that the personal data can no longer be attributed to a specific data subject without the use of additional information, provided that such additional information is kept separately and is subject to technical and organisational measures to ensure that the personal data are not attributed to an identified or identifiable natural person.
